These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Codeworks Services ("Company," "we," "us," or "our"), governing your access to and use of the Codeworks Services platform, including our website at codeworkservices.com, research dashboard, report delivery system, and marketplace (collectively, the "Platform").

By creating an account, submitting a payment, or otherwise accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

If you are using the Platform on behalf of an organization or business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Codeworks Services provides an AI-powered research intelligence platform that delivers structured research reports to professionals and businesses. Our services include:

• AI Research Reports. Upon submission of a research query through your dashboard, our platform processes your request using artificial intelligence and data aggregation systems to generate an intelligence report delivered to your dashboard and inbox in PDF format.
• Dashboard Access. A personal web-based dashboard available 24 hours a day, 7 days a week, through which you may submit queries, access reports, and manage your account.
• Marketplace. A transaction platform that facilitates the listing, review, and sale of software tools and scripts between sellers and buyers, with Codeworks Services acting as Merchant of Record on qualifying transactions.

We reserve the right to modify, suspend, or discontinue any feature or component of the Platform at any time with reasonable notice where practicable.

You must be at least 18 years of age to access or use the Platform. By using the Platform, you represent and warrant that you meet this requirement.

Use of the Platform is not permitted where doing so would violate applicable laws or regulations in your jurisdiction. You are solely responsible for determining whether your use of the Platform is lawful in your location. The Platform is intended for professional and business use. Reports generated are not intended for personal, household, or consumer purposes.

To access the Platform, you must create an account by providing accurate, current, and complete information. You agree to keep your account information up to date and to notify us promptly of any changes.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You may not share your account credentials with any third party or permit others to access the Platform through your account.

We reserve the right to suspend or terminate your account at our sole discretion, including but not limited to cases of suspected fraudulent activity, violation of these Terms, or non-payment of fees.

Access to the Platform is provided on a subscription basis. Current plans and pricing are described on our Pricing page and are subject to change with notice.

• Billing Cycle. Subscriptions are billed monthly beginning on the date your account is activated.
• Automatic Renewal. Subscriptions automatically renew each month unless cancelled prior to the renewal date.
• Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months unless otherwise required by applicable law.
• Failed Payments. If a payment fails, we may suspend access to your account until the outstanding balance is resolved. We reserve the right to terminate accounts with unresolved overdue balances after reasonable notice.
• Taxes. Subscription fees are exclusive of applicable taxes. You are responsible for any sales, use, VAT, or similar taxes imposed by your jurisdiction.

All payments are processed securely through our third-party payment processors. We do not store full payment card information on our systems.

Reports generated by the Platform are produced using artificial intelligence systems. You must independently evaluate all output before relying on it for any business, legal, financial, or other decision.

You acknowledge and agree to the following regarding AI-generated reports and output ("Output"):

• Output is generated programmatically and may not be accurate, complete, or up to date. Codeworks Services makes no warranty regarding the accuracy, reliability, or fitness of any Output for any particular purpose.
• Output does not constitute professional advice of any kind, including but not limited to legal, financial, investment, medical, or regulatory advice. You should consult qualified professionals before making decisions based on Output.
• Due to the nature of AI systems, Output may not be unique. Other users submitting similar queries may receive similar or identical results.
• Output may reflect biases or limitations inherent in the underlying AI technology and data sources. You are responsible for critically reviewing all Output before use.
• Codeworks Services is not liable for any decisions, actions, losses, or damages arising from your reliance on Output.

Subject to these Terms and your continued compliance with them, Output delivered to your account is licensed to you for your internal business use only. You may not resell, redistribute, sublicense, or publicly publish Output without our prior written consent.

You agree to use the Platform only for lawful purposes and in compliance with these Terms. You agree not to:

• Use the Platform for any illegal activity or in violation of any applicable laws or regulations.
• Submit queries or content that is defamatory, harassing, fraudulent, or that infringes on the intellectual property rights of any third party.
• Attempt to reverse engineer, decompile, disassemble, or extract the underlying algorithms, models, or source code of the Platform.
• Use Output to train, develop, fine-tune, or improve any machine learning model, AI system, or competing product or service.
• Systematically query the Platform to replicate, download, or reconstruct any database or corpus underlying the Platform.
• Attempt to gain unauthorized access to any portion of the Platform, other user accounts, or our systems and infrastructure.
• Interfere with, disrupt, or place unreasonable load on the Platform or its hosting infrastructure.
• Represent AI-generated Output as being human-authored without appropriate disclosure.
• Use the Platform to facilitate the transmission of unsolicited commercial communications or spam.

We reserve the right to suspend or terminate access to any user who violates this section, without refund and without prior notice.

Our Property

The Platform, including its design, software, systems, branding, documentation, and all underlying technology, is owned by Codeworks Services or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right or license in our intellectual property beyond the limited right to use the Platform as described herein.

Your Queries

You retain ownership of any research queries or instructions you submit to the Platform ("Input"). By submitting Input, you grant Codeworks Services a limited license to process your Input for the sole purpose of generating your requested Output and delivering the services described in these Terms.

Your Output

Subject to these Terms and your continued compliance with them, Codeworks Services grants you a non-exclusive, non-transferable, non-sublicensable license to use Output for your internal business purposes during your active subscription term.

We do not use your Input or Output to train or improve our AI systems in a way that could expose your data to other users.

The Codeworks Marketplace facilitates transactions between sellers listing software tools, scripts, and automation products ("Listings") and buyers purchasing those Listings.

For Sellers

• By submitting a Listing, you represent and warrant that you own or have the right to sell the software or tool listed, that the Listing does not infringe any third-party intellectual property rights, and that the Listing complies with all applicable laws.
• All Listings are subject to review and approval by Codeworks Services prior to publication. We reserve the right to reject or remove any Listing at our sole discretion.
• You authorize Codeworks Services to act as Merchant of Record on transactions related to your Listing and to collect and disburse proceeds in accordance with the fee structure communicated to you at the time of Listing submission.
• Funds collected from buyers will be held and released upon confirmed delivery of the sold software or tool.

For Buyers

• All purchases through the Marketplace are final. Refunds may be issued at our sole discretion in cases of non-delivery or material misrepresentation.
• Codeworks Services does not warrant the functionality, security, fitness for purpose, or performance of any software sold through the Marketplace. All software is provided as-is by the seller.
• You are responsible for independently evaluating any software prior to purchase and use.
• Codeworks Services is not a party to the underlying software transaction beyond its role as Merchant of Record and platform operator.

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Platform, you consent to the practices described in our Privacy Policy.

We implement appropriate technical and organizational measures to protect data submitted through the Platform. However, no method of electronic transmission or storage is fully secure, and we cannot guarantee absolute security.

We do not sell your personal information to third parties.

THE PLATFORM AND ALL CONTENT, OUTPUT, AND SERVICES PROVIDED THROUGH IT ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CODEWORKS SERVICES EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CODEWORKS SERVICES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR REPUTATIONAL HARM, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM OR ITS OUTPUT.

IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not permit the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Codeworks Services and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform or Output; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any content or software you submit, list, or transmit through the Platform; or (e) your infringement of any third-party rights.

You may terminate your account at any time by cancelling your subscription and contacting us to request account deletion.

We may suspend or terminate your access to the Platform at any time, with or without cause, including for violation of these Terms, non-payment, suspected fraud, or if required by law. In cases of material breach, termination may occur without prior notice.

Upon termination, your right to access the Platform and any associated Output ceases immediately. Sections 6, 8, 11, 12, 13, and 15 of these Terms survive termination.

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Platform that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Florida. You consent to personal jurisdiction in such courts.

Before initiating formal legal proceedings, you agree to contact us in writing at the address below and allow 30 days for us to attempt to resolve the dispute informally.

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify active subscribers by email.

Your continued use of the Platform after any modification constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must cease using the Platform and cancel your subscription.
